Terms of Service

These Terms apply to both NeurLead Dispatch (for business owners) and NeurLead Tech (for field technicians). "We," "us," and "NeurLead" mean Rakhimov Enterprise LLC. "You" means the person or business using the Service.

Acceptance by login. By creating an account, signing in, or otherwise accessing the Service, you confirm you have read, understood, and agreed to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not log in and do not use the Service. These Terms are enforceable in all 50 U.S. states.

What NeurLead is. NeurLead is an informational software-as-a-service ("SaaS") tool that helps home-service businesses respond to leads, draft messages, schedule jobs, and track invoices. We do not provide legal, financial, tax, or business advice. We do not perform services for your customers. We do not guarantee that using NeurLead will increase your sales, leads, revenue, or any business outcome — see Section 9A (No Results Guarantee).

1. Who Can Use NeurLead

  • You must be at least 18 years old
  • You must be operating a legitimate business in the United States
  • You must have legal authority to accept these Terms on behalf of that business
  • You may not use the Service if we have previously suspended or terminated your account

2. Subscriptions & Billing

Plans

NeurLead offers monthly and annual subscription plans. Current pricing is listed at neurlead.com/#pricing. Subscriptions auto-renew at the end of each billing period until you cancel.

Payment

All payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis. We store only your Stripe customer ID and the last 4 digits of your card — never the full card number.

No In-App Purchases

Subscriptions are managed exclusively through our website (aidispatch.us or neurlead.com). We do not sell subscriptions through Apple App Store In-App Purchase or Google Play Billing. To upgrade, downgrade, or cancel, visit the Billing section in your web dashboard.

Failed Payments

If a payment fails, you have a 3-day grace period to update your card. After that, your account will be restricted (read-only) until the balance is cleared. After 30 days of non-payment, we may terminate the account with notice.

Price Changes

We will give you at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance of the new price.

3. Cancellation

  • You can cancel anytime from the Billing section on the web dashboard
  • Access continues until the end of your current billing period
  • No prorated refunds for partial periods, unless required by law
  • After cancellation, your data is kept for 30 days, then permanently deleted — giving you time to export or reactivate
  • Refund requests are handled case-by-case: email kuparan.ru@gmail.com

4. Acceptable Use

You agree not to use NeurLead to:

  • Send spam, unsolicited commercial messages, or deceptive communications to customers
  • Harass, threaten, or abuse any customer or third party
  • Offer illegal services or violate any applicable law or regulation
  • Impersonate another person, business, or brand
  • Scrape, reverse-engineer, or extract source code from the platform
  • Attempt to access another tenant's data
  • Violate Thumbtack's Pro policies, Google LSA policies, or Facebook Advertising policies when using those lead-source integrations
  • Share your login credentials with people who are not authorized staff members under your account

We reserve the right to suspend or terminate any account that violates these rules, with or without prior notice, at our sole discretion.

5. Your Data, Your Customers

You own the data you bring into or create inside NeurLead — leads, customer records, messages, job photos, and settings. We are a processor acting under your direction, not an independent controller of your customer data.

We never sell your data, your customers' data, or your contact lists. NeurLead does not, and will never, sell, rent, lease, or trade your data — or the personal information of the customers and leads inside your account — to any third party for marketing or any other purpose. Period.
  • No third-party sharing except the operational sub-processors listed in our Privacy Policy (e.g., Twilio for SMS delivery, Stripe for payments). Those sub-processors are bound by contract to use the data only to deliver the service you asked for.
  • No AI training on your data. We will not use your customer messages, leads, or call recordings to train AI models without your explicit, separate, written consent.
  • Deletion on cancellation. If you delete your account, all your data is permanently deleted within 30 days. Billing records may be retained up to 7 years to meet U.S. tax and accounting laws.
  • Data export. You can export your data at any time by emailing kuparan.ru@gmail.com.
  • State privacy rights. Residents of California (CCPA/CPRA), Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), Utah (UCPA), Texas (TDPSA), Oregon (OCPA), Florida (FDBR), and any other U.S. state granting consumer privacy rights may exercise those rights by contacting us at the email above. We do not sell personal information, so a "Do Not Sell" request is unnecessary, but we will honor it on request.

6. Field Technician Accounts

Technicians are invited by the business owner to use the NeurLead Tech app. Technicians:

  • Are granted access by their employer (the account owner), not independently
  • Have their personal data (name, phone, device info) processed under both our Privacy Policy and the employer's own privacy obligations
  • Lose access immediately when the employer removes them from the account
  • Should contact their employer first with data-access or deletion requests — employers can then submit a request to us on the technician's behalf

7. AI-Generated Content

NeurLead uses AI (Claude by Anthropic, optionally Gemini by Google) to draft responses on your behalf. You acknowledge:

  • AI responses may not always be perfectly accurate or appropriate for your business
  • You are ultimately responsible for all communications sent from your account, whether AI-drafted or manual
  • AI suggestions are not legally binding quotes, contracts, or guarantees
  • You can turn off AI auto-responses at any time from the dashboard

8. Service Availability

We do our best to keep NeurLead running smoothly, but we make no uptime guarantee (no SLA) for the current subscription tiers. We may:

  • Perform scheduled maintenance (we'll try to notify you in advance)
  • Experience unplanned outages due to cloud provider issues, Twilio/Anthropic API downtime, or other factors outside our control

We will not be liable for lost leads, missed calls, or business losses caused by downtime.

9A. No Results Guarantee · Earnings Disclaimer

NeurLead is a tool, not a guarantee of outcomes. We do not promise, warrant, or guarantee any specific business result from your use of the Service, including but not limited to: increased leads, higher conversion rates, more bookings, additional revenue, reduced response time, lower cancellations, customer retention, or any growth in your business. Results vary widely based on your market, pricing, staffing, lead quality, sales execution, and dozens of factors entirely outside our control.

Your business outcomes are your responsibility. You are the operator of your business. You decide which leads to pursue, what to charge, when to call, what to send, when to book, and how to handle every customer interaction. AI suggestions, drafts, estimates, and scores produced by NeurLead are informational only and may be wrong. You must review, edit, and approve any message, quote, invoice, or action before it leaves your account. If you choose to enable auto-responses, you accept the risk of automated content reaching your customers.

We are not liable for financial losses, lost revenue, lost customers, missed leads, refunds owed to your customers, chargebacks, damaged relationships, brand damage, regulatory fines, or any other business losses arising from your use of, or inability to use, NeurLead — whether caused by AI output, downtime, integration failures with third parties (Thumbtack, Twilio, Stripe, etc.), data delays, our actions or omissions, or anything else.

No professional advice. NeurLead does not provide legal, financial, tax, accounting, regulatory, employment, contractor-licensing, or insurance advice. Information shown in the dashboard is for operational convenience only. Consult a qualified professional for any decision where one is required by law or prudence.

Testimonials & case studies. Any testimonials, case studies, screenshots, or third-party results shown on our marketing materials are individual experiences from specific operators and are not a guarantee that you will achieve similar results.

9. Limitation of Liability

To the maximum extent permitted by applicable law in each U.S. state, including the laws of any state where you operate:

  • The Service, all AI outputs, all reports, all integrations, and all content are provided "AS IS" and "AS AVAILABLE", without any warranty — express, implied, statutory, or otherwise — including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service will be uninterrupted or error-free.
  • In no event will NeurLead, Rakhimov Enterprise LLC, its officers, directors, employees, contractors, affiliates, or licensors be liable to you or any third party for any indirect, incidental, special, exemplary, consequential, or punitive damages, including without limitation lost revenue, lost profits, lost leads, lost data, lost goodwill, business interruption, cost of substitute services, or any other intangible loss, whether based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
  • Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service is capped at the greater of (a) the amount you actually paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
  • Some U.S. states do not allow the exclusion or limitation of certain warranties or damages. To the extent any portion of this section is held unenforceable in your state, the remaining limitations remain in full effect and our liability is limited to the maximum extent that state allows.

If you are dissatisfied with the Service or these Terms, your sole and exclusive remedy is to stop using the Service and cancel your subscription.

9B. Indemnification

You agree to defend, indemnify, and hold harmless NeurLead, Rakhimov Enterprise LLC, and its officers, directors, employees, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including reasonable attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of these Terms or any law; (c) any content you, your staff, or your customers post or send through the Service; (d) any claim by one of your customers that an AI-drafted message, estimate, invoice, or action created in your account caused them harm; (e) your violation of Thumbtack, Twilio, Stripe, Facebook, Google LSA, or any other third-party platform's terms; or (f) any tax, employment, contractor licensing, insurance, or regulatory obligation owed by your business. This indemnity survives termination of these Terms.

10. How We May Terminate Your Account

We may suspend or terminate your account if:

  • Fraud or abuse: immediately, without notice
  • Violation of Acceptable Use (§4): immediately or after a warning, at our discretion
  • Non-payment: after a 30-day notice and cure period

On termination, you lose access to the dashboard. Your data is retained for 30 days, then deleted.

11. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Any dispute not resolved through arbitration (see §12) shall be litigated in the courts of Miami-Dade County, Florida.

12. Arbitration & Class-Action Waiver

Please read this carefully. It affects how disputes are resolved.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of NeurLead that cannot be resolved informally will be settled by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Miami, FL (or by video/phone if both parties agree). The arbitrator's decision will be final and binding.

Class-action waiver

You and NeurLead both waive the right to bring or participate in any class action, class arbitration, or representative proceeding. All claims must be brought individually.

Opt-out

You may opt out of this arbitration agreement by sending written notice to kuparan.ru@gmail.com within 30 days of first creating your account. Your notice must include your name, email, and a statement that you are opting out of arbitration. Opting out does not affect any other part of these Terms.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction for matters involving intellectual property, data security, or unauthorized access.

13. DMCA / Copyright Complaints

If you believe content on NeurLead infringes your copyright, send a DMCA notice to:

  • Include: a description of the copyrighted work, the URL of the infringing content, your contact info, and a statement of good faith and accuracy under penalty of perjury

14. Changes to These Terms

We may update these Terms. For material changes we will:

  • Email you at least 30 days before the changes take effect
  • Update the "Last updated" date at the top of this page

Continued use of the Service after the effective date means you accept the updated Terms.

15. Contact Us
